Part I — Contract, scope, and website use

1. Acceptance of these terms

These Website and Sales Terms and Conditions (the "Terms") form a legally binding agreement between you and QualGear LLC ("QualGear," "we," "us," or "our"). They apply when you access or use a website, online store, customer portal, dealer portal, or other digital property controlled by QualGear (collectively, the "Site"); place an order directly with QualGear through the Site, by telephone, by email, through an approved electronic data exchange, or through a written quotation or invoice; request technical support, a return, replacement part, or warranty service; or participate in an approved dealer, wholesale, dropship, commercial, education, or government account program.

By accessing the Site, creating an account, submitting an order, accepting a quotation, paying an invoice, requesting an RMA, or otherwise conducting business with QualGear under a document that incorporates these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Site or submit an order directly to QualGear.

Certain products, services, accounts, promotions, quotations, warranties, or transactions may be subject to additional written terms. Those additional terms are incorporated by reference. If a direct conflict exists, the order of precedence stated in Section 35.8 will apply.

Consumer rights: Nothing in these Terms is intended to waive a right or remedy that cannot lawfully be waived under applicable consumer-protection, product-safety, or warranty law.

2. Definitions

For purposes of these Terms, the following definitions apply. Singular terms include the plural where the context requires, and references to "including" mean "including without limitation."

  • "Business Customer" means a purchaser acting primarily for commercial, professional, resale, government, education, institutional, or trade purposes rather than personal, family, or household use.
  • "Consumer" means an individual purchasing primarily for personal, family, or household use.
  • "Customer," "you," and "your" mean the person or entity accessing the Site, placing an order, receiving products, or applying for an account.
  • "Dealer" or "Reseller" means a business approved by QualGear to purchase products for resale, integration, installation, or distribution, subject to the scope of its written authorization.
  • "Products" means goods offered, sold, or supplied by QualGear, including products sold under the QualGear, QualGear Pro-AV, or Star Ergonomics brands and any replacement parts or accessories.
  • "Product Documentation" means the applicable product page, packaging, certification label, installation manual, safety instructions, specification sheet, warranty, and other written materials supplied with or expressly identified for a Product.
  • "Order" means a request to purchase Products that QualGear has accepted, whether submitted through the Site, telephone, email, quotation, invoice, purchase order, electronic data exchange, or another approved method.
  • "RMA" means a Return Merchandise Authorization issued by QualGear before a return is shipped or delivered.
  • "Special Order" means a custom, configured, project-specific, large-quantity, nonstock, specially sourced, modified, private-label, or otherwise specially designated order.

3. Eligibility and authority

You must be at least eighteen (18) years old and legally capable of entering into a binding contract to create an account or place an order. By acting for a company, government agency, educational institution, nonprofit, installer, dealer, or other organization, you represent that you have authority to bind that organization to these Terms and to submit the payment, resale, tax, shipping, and account information provided to QualGear.

QualGear may refuse service, restrict access, suspend an account, cancel an unaccepted order, or require additional verification when reasonably necessary to protect customers, employees, payment systems, carriers, inventory, intellectual property, or legal compliance. QualGear will not exercise this right for an unlawful discriminatory purpose.

4. Electronic communications and signatures

You consent to receive agreements, order confirmations, invoices, shipping notices, delay notices, RMA communications, warranty communications, account notices, policy updates, and other transaction-related records electronically at the email address or account destination you provide. You are responsible for maintaining a valid email address and reviewing communications related to your orders and account.

Electronic acceptance, click-through acceptance, typed names, electronic signatures, purchase-order transmissions, and other electronic records may be used to create and evidence transactions to the extent permitted by applicable law. You may retain a copy of these Terms and transaction records for your files. QualGear may also retain electronic records, shipping documentation, package weights, photographs, or related evidence for legitimate operational, quality-control, fraud-prevention, and dispute-resolution purposes.

If applicable law requires a record to be delivered in paper form, QualGear will provide it as required. Your consent to electronic communications does not waive any nonwaivable right to receive a required notice or warranty disclosure.

5. Changes to these terms

QualGear may revise these Terms from time to time to reflect changes in products, business practices, legal requirements, technology, payment services, shipping operations, or customer programs. The "Last Updated" date identifies the current published version. Unless otherwise stated, revised Terms apply prospectively when posted and do not retroactively change an Order already accepted by QualGear.

Material changes affecting an existing account program may also be communicated by email, portal notice, invoice notice, or another reasonable method. Continued use of the Site or submission of a new Order after revised Terms become effective constitutes acceptance of the revised Terms. A separately signed agreement may specify a different amendment process and will control for that agreement.

6. Website access, accounts, and security

6.1 Limited access. Subject to these Terms, QualGear grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for lawful product research, account administration, purchasing, support, and other intended business purposes. The Site may be unavailable periodically for maintenance, security, system changes, carrier integrations, third-party service interruptions, or events beyond our reasonable control.

6.2 Account information. You agree to provide accurate, current, and complete account, billing, shipping, tax, and contact information and to promptly update material changes. You may not impersonate another person, misrepresent your authority, conceal the true purchaser or end user, or use an account for an unauthorized sales channel or purpose.

6.3 Credentials and unauthorized activity. You are responsible for safeguarding usernames, passwords, access codes, and authorized-user permissions. Notify support@qualgear.com promptly if you suspect unauthorized access or use. QualGear may temporarily restrict an account while investigating suspected compromise, fraud, chargeback activity, sanctions concerns, or other misuse.

6.4 Dealer portal and pricing confidentiality. Nonpublic dealer pricing, project pricing, product data feeds, account documents, forecasts, and portal materials are confidential business information. Authorized users may use them only for the approved business relationship and may not disclose credentials, scrape restricted data, publish confidential pricing, or provide portal access to an unauthorized third party.

Part II — Products, pricing, and orders

7. Product information, images, and certifications

7.1 Product descriptions. QualGear makes reasonable efforts to present Product descriptions, dimensions, load ratings, compatibility information, colors, finishes, included hardware, packaging contents, images, videos, and availability accurately. Product information may be updated as designs, manufacturing methods, packaging, suppliers, or regulatory requirements change. Minor variations that do not materially impair intended function may occur.

Website photographs and device displays may not reproduce exact color, texture, finish, scale, or proportion. Installed appearance may depend on the mounting surface, structure, fasteners, equipment, cable routing, lighting, and installer technique. Unless expressly stated, display devices, projectors, televisions, monitors, furniture, tools, structural members, and decorative items shown with a Product are not included.

7.2 Compatibility and project verification. Customers must verify Product compatibility before purchase and installation, including equipment dimensions, VESA pattern, mounting-hole pattern, weight, center of gravity, ceiling or wall condition, thread standard, pipe diameter, fastener requirements, electrical clearances, environmental conditions, and any local code or permit requirement. Recommendations based on information supplied by a Customer are dependent on the accuracy and completeness of that information.

7.3 Certifications and listings. Select Products may be UL Listed, tested by a third party, or otherwise certified for specific configurations or uses. Certifications vary by model and may not apply to a visually similar Product, modified Product, combined assembly, or installation outside the certification parameters. The individual Product page, package, certification label, and current Product Documentation control. Do not infer a certification from a category description, photograph, prior model, or another Product.

7.4 Errors and corrections. QualGear may correct typographical errors, inaccurate specifications, pricing errors, image errors, or omissions before accepting an Order. If a material error is discovered after acceptance, QualGear may contact the Customer to confirm a correction, offer a substitute, cancel the affected item, or provide another lawful remedy. QualGear will not knowingly enforce an obvious error against a Customer.

8. Installation, structural conditions, and technical support

8.1 Customer responsibility. QualGear sells Products and provides Product Documentation and remote technical information. Unless expressly agreed in a separate signed writing, QualGear does not provide onsite installation, structural engineering, electrical work, assembly, removal, reinstallation, rigging, white-glove service, or building-code approval. The Customer is responsible for selecting an appropriate Product, installation location, supporting structure, mounting method, tools, and qualified installer.

8.2 Professional installation. Professional installation is strongly recommended when a Product is installed overhead; when structural conditions are uncertain; when the installation involves concrete, steel, masonry, trusses, vaulted ceilings, suspended ceilings, specialty ceilings, unusually large or heavy equipment, public or commercial spaces, electrical work, fall hazards, or elevated work; or when applicable codes require a licensed professional.

8.3 Fasteners and supporting surfaces. Hardware supplied with a Product may not be suitable for every structure or substrate. The installer must determine whether supplied or separately obtained fasteners, anchors, backing, blocking, adapters, pipes, connectors, and supports are appropriate for the actual wall, ceiling, desk, truss, or other structure and for all expected static and dynamic loads. Never exceed a published load, size, extension, or configuration limit.

8.4 Technical support limitations. Remote technical support is intended to explain Product features, identify Product Documentation, and assist with ordinary assembly questions. It does not replace an onsite inspection or the professional judgment of a licensed contractor, structural engineer, architect, electrician, rigger, code official, or other qualified professional. A support response based on photographs, descriptions, or measurements supplied by a Customer is limited by the information provided.

8.5 Stop-use obligation. Do not install or continue using a Product that appears damaged, incomplete, modified, unstable, incompatible, improperly anchored, overloaded, or incorrectly assembled. Stop work or use immediately if unusual movement, noise, deformation, looseness, corrosion, fastener pullout, or structural distress is observed. Contact QualGear for Product-related assistance and consult an appropriate professional regarding the installation or structure.

9. Pricing, promotions, taxes, and quotations

9.1 Prices. Prices are stated in U.S. dollars unless expressly identified otherwise. Website prices may change without notice before an Order is accepted. Dealer, volume, project, government, education, promotional, or negotiated pricing may be limited by Product, quantity, account, destination, sales channel, validity period, inventory, or other stated conditions. Prices do not include taxes, shipping, freight accessorials, duties, customs charges, brokerage, installation, or other charges unless expressly stated.

9.2 Promotions and discount codes. Promotions and discount codes are subject to their published terms, expiration dates, eligible Products, quantity limits, account restrictions, inventory, and geographic scope. Unless expressly authorized, offers may not be combined, transferred, sold, reproduced, applied retroactively, or used through automated means. QualGear may reject misuse, fraud, duplicate redemptions, or circumvention of promotional limits.

9.3 Sales and use taxes. QualGear may collect sales, use, excise, or similar taxes when required. A Customer claiming exemption or resale treatment must provide complete, valid, and timely documentation acceptable to QualGear. Approval of an account does not by itself establish tax exemption. The Customer remains responsible for taxes, penalties, and interest arising from inaccurate, expired, revoked, incomplete, or misused exemption documentation, except to the extent caused by QualGear's failure to comply with applicable law.

9.4 Quotations. A quotation is an invitation to place an Order and is not an acceptance unless it expressly states otherwise. Quotations expire on the stated date or, if none is stated, thirty (30) days after issuance. Freight, tariff, commodity, exchange-rate, supplier, and tax changes may require revision before acceptance. A quotation applies only to the quantities, Products, services, destination, and assumptions stated.

10. Orders, acceptance, and availability

10.1 Order submission is an offer. Submitting an Order, receiving an automated confirmation, or authorizing payment does not by itself mean that QualGear has accepted the Order. An Order is accepted when QualGear issues an express acceptance, releases the Order for fulfillment, ships a Product, or otherwise clearly confirms acceptance. QualGear may accept an Order in whole or in part.

10.2 Availability. Inventory displays and lead times are estimates and may change because of prior sales, receiving variances, quality holds, supplier delays, carrier capacity, severe weather, system synchronization, or other circumstances. If an item becomes unavailable, QualGear may contact the Customer regarding a revised ship date, partial shipment, substitute, backorder, cancellation, or refund, as applicable.

10.3 Order restrictions. QualGear may limit quantities, decline unusually large consumer orders, require Business Customer verification, or reject an Order that appears to involve fraud, reshipping, unauthorized marketplace resale, export diversion, pricing abuse, inventory hoarding, payment risk, sanctions exposure, or a Product restriction. QualGear may require written confirmation of the purchaser, end user, destination, intended application, or sales channel.

10.4 Separate shipments. Products in one Order may ship separately from different inventory locations or by different carriers. Unless otherwise agreed, a partial shipment does not cancel the remaining accepted items. Charges may be captured or invoiced by shipment where permitted by the payment method and applicable law.

11. Payment, verification, and fraud prevention

11.1 Accepted payment. Available payment methods may include payment cards, electronic payment services, ACH, wire transfer, check, approved credit terms, or another method shown at checkout or approved in writing. QualGear may change accepted methods and may require cleared funds before shipment. The Customer represents that it is authorized to use the payment method and billing information provided.

11.2 Authorizations and captures. A payment-card authorization may place a temporary hold that is controlled by the card issuer. QualGear is not responsible for the timing of issuer releases. Orders may be charged when placed, accepted, prepared, or shipped, depending on the payment service and transaction. If a payment fails, is reversed, is disputed, or cannot be verified, QualGear may suspend fulfillment, revoke credit, cancel unshipped items, or pursue lawful collection remedies.

11.3 Verification. QualGear may request identification, billing verification, resale or business records, end-user information, proof of authorization, signed forms, or confirmation from the payment-account holder. Failure to provide reasonably requested verification may delay or prevent acceptance. Information collected for verification is handled in accordance with the Privacy Policy and applicable law.

11.4 Chargebacks. Before initiating a chargeback, the Customer should contact QualGear so that an order, delivery, return, or warranty concern can be reviewed. Knowingly submitting a false or duplicative chargeback, or retaining Products after receiving a refund for nondelivery, may constitute misuse and may result in account restriction and lawful recovery of Products, funds, fees, or collection costs.

12. Order changes and cancellations

12.1 Customer requests. A request to change or cancel an Order is not effective until confirmed by QualGear. Because in-stock Orders may enter fulfillment quickly, QualGear may be unable to change a shipping address, carrier service, quantity, configuration, or item after processing begins. Address changes may require cancellation and a new Order for fraud-prevention reasons.

12.2 Special Orders and project orders. Special Orders, custom configurations, specially sourced Products, large project quantities, private-label items, and items already committed to production or procurement may be noncancelable or subject to documented cancellation, supplier, labor, restocking, freight, or other costs. Any such restriction should be stated in the quotation, order confirmation, or separate agreement.

12.3 QualGear cancellation. QualGear may cancel an unshipped item if it cannot be fulfilled, if a material listing or pricing error occurred, if payment or verification fails, if fulfillment would violate law or policy, or if the Customer materially breaches an applicable agreement. QualGear will provide a refund or credit for amounts paid for canceled, unshipped items as required by law and the applicable payment method.

Part III — Shipping, returns, and warranty

13. Order processing and shipping estimates

13.1 Processing cutoff. Most in-stock Orders placed before 2:00 p.m. Central Time on a regular business day are processed for shipment the same day. "Same-day processing" means QualGear will make a reasonable effort to prepare the Order for carrier pickup that day. It is not a commitment to same-day carrier acceptance, a specific pickup time, same-day shipment tracking activation, or a particular delivery date.

13.2 Business days and closures. Regular business hours are Monday through Friday, 9:00 a.m. to 5:00 p.m. Central Time. Orders placed after the cutoff, on weekends, on major U.S. holidays, or during a facility closure or reduced schedule may be processed on the next available business day. Severe weather, power or network outages, carrier interruptions, emergencies, and employee-safety conditions may affect operations.

13.3 Shipping and delivery estimates. Quoted transit times and delivery dates are estimates unless QualGear expressly commits to a date in a signed writing. Carrier scans, tracking events, and estimated delivery windows are controlled by the carrier and may change. Expedited service generally concerns carrier transit after pickup and does not necessarily shorten order verification, preparation, backorder, or special handling time.

13.4 Time-sensitive orders. Customers with a firm installation, event, construction, or project deadline should contact QualGear before ordering to confirm Product availability, processing requirements, shipping options, destination conditions, and contingency time. QualGear is not responsible for project delay costs based solely on an estimated ship or delivery date.

Shipping-delay compliance: When applicable consumer law requires consent to a shipping delay or a refund for unshipped merchandise, QualGear will provide the required notice and options.

14. Small-parcel delivery

14.1 Carriers. UPS and FedEx are QualGear's primary small-parcel carriers. USPS or another service may be used based on destination, dimensions, weight, service availability, cost, carrier restrictions, and operational requirements. QualGear may select an equivalent or reasonably appropriate service unless a specific carrier and service are confirmed in writing.

14.2 Address accuracy. The Customer must provide a complete and deliverable address, including suite, unit, building, department, attention line, access instructions, and telephone number where applicable. The Customer is responsible for fees and delay caused by an incorrect, incomplete, undeliverable, refused, or unauthorized address, except to the extent caused by QualGear's error.

14.3 Signatures and delivery instructions. A signature may be required based on value, destination, payment risk, carrier practice, or Customer request. Carrier delivery photographs, signatures, geolocation, scan records, or other proof may be used to evaluate a claim. Requests to leave a package, redirect delivery, hold at a carrier location, or release a signature are subject to carrier rules and may shift responsibility to the requesting party to the extent permitted by law.

14.4 Refused and undeliverable packages. A refused or undeliverable package may be returned to QualGear and treated as an unauthorized or Customer-responsibility return unless the refusal resulted from confirmed transit damage, QualGear's shipping error, or another approved reason. Return freight, address-correction fees, carrier charges, and applicable restocking deductions may be assessed.

15. Freight and LTL shipments

15.1 Freight selection and accessorials. Large, heavy, palletized, or oversized Orders may ship by less-than-truckload ("LTL"), truckload, or another commercial freight service. Carrier and service selection may consider shipment size and weight, delivery address, commercial or residential status, required delivery date, liftgate or appointment needs, limited-access classification, carrier availability, and cost.

Additional charges may apply for residential delivery, limited-access locations, liftgate service, notification or appointment service, inside delivery, construction-site delivery, trade-show delivery, redelivery, storage, reconsignment, address correction, detention, sort-and-segregate service, remote area service, or other accessorials. The Customer must disclose special requirements before shipment. Charges caused by undisclosed or changed conditions may be invoiced after delivery.

15.2 Delivery site requirements. The Customer is responsible for ensuring that the delivery site can safely accommodate the carrier and shipment and that authorized personnel and suitable unloading equipment are available. Standard freight delivery does not include unpacking, debris removal, assembly, installation, movement within a building, stair carry, or placement at a final-use location unless expressly purchased and confirmed.

15.3 Freight inspection. Before signing the delivery receipt, the recipient should count handling units and inspect the pallet, cartons, wrapping, bands, and visible Product condition. Shortage, puncture, crush damage, wetness, broken bands, rewrapped pallets, or other exceptions should be described specifically on the carrier's delivery receipt and photographed. Signing "subject to inspection" alone may not preserve a freight claim.

15.4 Concealed damage. Concealed damage should be reported to QualGear and the carrier immediately after discovery and within any applicable carrier claim period. The Customer must preserve the Product, carton, pallet, labels, packing materials, and delivery records for inspection. Discarding packaging or moving the shipment before documentation may impair a claim.

16. Special destinations, international orders, customer carrier accounts, and local pickup

16.1 Contiguous United States. Standard website checkout is generally intended for addresses within the forty-eight (48) contiguous United States. Available services, delivery estimates, and charges depend on the destination and shipment.

16.2 Alaska, Hawaii, U.S. territories, APO, and FPO. Standard checkout may not support Alaska, Hawaii, U.S. territories, APO, or FPO addresses. Qualifying Orders may be available through USPS or another service by special arrangement. Customers should contact QualGear before ordering to confirm Product eligibility, service availability, cost, and documentation.

16.3 International orders. International shipping may be available by special arrangement. The recipient is responsible for import eligibility, duties, customs charges, brokerage fees, value-added taxes, tariffs, local handling charges, permits, registrations, and government assessments unless QualGear expressly agrees otherwise in writing. International transit, customs clearance, and delivery estimates are not assured. Products, warranties, certifications, instructions, power specifications, and regulatory approvals may differ by market, and the Customer must verify suitability for the destination.

16.4 Customer carrier accounts. A Customer requesting shipment on its own UPS, FedEx, freight, or other carrier account must obtain approval before ordering and provide accurate carrier, account, service, billing postal code, contact, pickup, and documentation information. QualGear may refuse an account that cannot be verified or used as requested. The Customer authorizes QualGear to disclose shipment information to the carrier and to use the account solely to arrange the requested shipment. Carrier billing disputes are primarily between the Customer and carrier, except for charges caused by QualGear's documented error.

16.5 Local pickup. Local pickup may be available from QualGear's Anna, Texas distribution center by advance confirmation. Do not travel to the facility until QualGear confirms that the Product is in stock, the Order is ready, the facility will be open, and an authorized team member will be available. The pickup person may be required to present identification, an order confirmation, and purchaser authorization. Loading assistance and equipment may be limited, and the Customer is responsible for using a suitable vehicle and securing the load.

17. Title, risk of loss, delivery inspection, and shipping claims

17.1 Title and risk. Except where applicable law requires otherwise or a written quotation states a different shipping term, title to Products transfers after full payment and tender to the carrier or release at local pickup. For Business Customers, risk of loss or damage transfers upon tender to the carrier at QualGear's shipping point, including when QualGear prepays or arranges freight. For Consumers, risk of loss transfers as provided by applicable law. These provisions do not limit a valid claim against a carrier or QualGear for a confirmed shipping error.

17.2 Prompt inspection. The recipient should promptly inspect each shipment for correct model, quantity, visible damage, missing cartons, and packaging condition. Do not install a damaged or incorrect Product. Contact QualGear as soon as reasonably possible and provide the order number, model or SKU, quantity, photographs, packaging, carrier label, and a description of the issue.

17.3 Lost, missing, or misdelivered packages. QualGear may assist with a carrier trace or claim. The Customer must cooperate with reasonable carrier procedures, affidavits, police reports, delivery-location checks, or loss-prevention inquiries. A replacement or refund may be delayed while a carrier investigation is pending. QualGear may decline duplicate recovery where the Customer has already received payment, replacement, insurance proceeds, or chargeback credit for the same loss.

17.4 Preservation of evidence. Keep damaged Products and all original packaging until QualGear or the carrier authorizes disposal. Photographs, shipment weights, warehouse records, packing records, delivery scans, and other documentation may be considered. Failure to preserve reasonably requested evidence may limit available remedies to the extent permitted by law.

18. Returns and return merchandise authorizations

The current published Return Policy provides the step-by-step return process and is incorporated into these Terms as described in Section 35.8.

18.1 Thirty-day return period. Products purchased directly from QualGear may be eligible for return within thirty (30) days of the date of purchase, subject to these Terms, the applicable Return Policy, and any Product- or Order-specific restriction. A return is not authorized until QualGear issues an RMA.

18.2 Requesting an RMA. To request an RMA, contact support@qualgear.com or +1-972-423-5015 and provide the Customer name, Order number, Product model or SKU, quantity, reason for return, contact information, and photographs or other information reasonably requested. Do not ship or deliver a return before receiving written RMA instructions.

Every RMA request includes proof of purchase. What qualifies depends on where the order was placed: (a) for orders placed on the QualGear store, the order number is sufficient; (b) for orders placed through another store or marketplace but sold by QualGear, a copy of the order or invoice; (c) for items sold by other sellers, contact the seller or platform that sold the item — those returns are processed through that seller as described in Sections 18.6 and 20.5.

18.3 Return condition. Unless the return involves a confirmed defect, QualGear shipping error, or another approved exception, returned merchandise should be complete, unmodified, uninstalled or carefully removed, in resalable condition, packaged in the original Product box, protected for shipment, and accompanied by the approved RMA documentation. All original components should be included, such as mounting hardware, brackets, adapters, cables, accessories, manuals, wall-marking templates, hardware packs, and protective packaging.

18.4 Return shipping. Unless QualGear confirms that the return resulted from its error or a covered Product issue, the Customer is responsible for return shipping, insurance, and risk of loss during return transit. A return label supplied by QualGear may be deducted from the refund if the return is Customer-responsibility. Use a trackable service and packaging suitable for the Product's weight and shape.

18.5 Unauthorized, late, or nonconforming returns. A package returned without an RMA, after the authorized period, to the wrong address, freight collect, or in materially nonconforming condition may be refused, delayed, returned to the sender, or subject to additional handling, storage, freight, refurbishment, missing-part, or restocking charges. Issuance of an RMA does not by itself make a return refundable; final eligibility is determined after inspection.

18.6 Exclusions. The following may be nonreturnable when disclosed before purchase or reasonably applicable to the Order: Special Orders; custom, configured, modified, private-label, or specially sourced items; clearance or final-sale items; products damaged by improper installation, modification, misuse, or inadequate return packaging; products missing material components; and Products subject to hygiene, safety, regulatory, or manufacturer restrictions. Nonwaivable legal rights remain unaffected.

18.7 Indoor golf items fulfilled through our golf partner. Certain indoor golf Products sold on the Site are fulfilled by our golf specialist partner and are identified by the fulfillment disclosure on their product pages. For those items: (a) your order, payment, and order emails remain with QualGear; (b) returns and exchanges are handled under the partner's return process, and warranty coverage is provided and honored by the partner under the partner's product warranty — the partner's terms, as summarized in the product-page disclosure, apply to those items in place of Sections 18.1 through 18.6, Section 19, and Section 20; (c) start every return, exchange, or warranty request with QualGear support at support@qualgear.com or +1-972-423-5015, and we will route the request to the partner — do not ship a partner-fulfilled item anywhere without routing instructions; and (d) a partner-fulfilled item identified as final sale on its product page is not eligible for return. Nonwaivable consumer rights remain unaffected.

19. Refunds, credits, and nonrefundable charges

19.1 Inspection and refund method. Approved refunds are issued after the returned merchandise is received and inspected. Refunds are generally made to the original payment method. If that method is unavailable, QualGear may use another lawful method or issue account credit by agreement. Processing time may vary based on inspection, payment provider, bank, carrier claim, and required documentation.

19.2 Restocking and condition deductions. A restocking fee or condition deduction may apply based on the reason for return, Product condition, installation evidence, missing parts, damaged or defaced packaging, labor needed to inspect or repackage, order type, and resale value. QualGear will communicate known fees during the RMA review when reasonably possible, but concealed condition issues may be assessed after inspection.

19.3 Nonrefundable amounts. Original shipping charges, expedited service charges, freight charges, accessorials, customs charges, brokerage, duties, taxes collected for a government authority, payment fees, and other third-party charges may be nonrefundable unless QualGear caused the return, the service was not provided, applicable law requires a refund, or QualGear approves an exception.

19.4 Promotional and bundled purchases. A refund for a bundled, volume-priced, promotional, gift-with-purchase, or discount-code Order may be recalculated based on the items retained and the terms of the offer. The Customer may be required to return promotional items or accept a deduction for their stated value.

20. Limited warranty, replacement parts, and purchases from other sellers

20.1 Product-specific warranty controls. QualGear stands behind eligible Products with a limited written warranty or replacement-parts commitment as stated in the Product-specific warranty. Warranty duration, scope, remedy, exclusions, claimant eligibility, and proof requirements may vary by model, purchase date, country, and sales channel. The applicable written warranty available with the Product or identified on the Product page controls over this summary. Current warranty periods by product family are published on the QualGear warranty page.

20.2 Warranty requests. A claimant may be required to provide valid proof of purchase, order invoice or receipt, Product model number, serial or date code if applicable, description of the issue, photographs or video, name, email, shipping address, telephone number, and reasonable troubleshooting cooperation. Replacement parts and warranty remedies are subject to verification, eligibility, availability, and the Product-specific warranty.

20.3 Common exclusions. Unless a written warranty expressly states otherwise, warranty coverage generally does not include installation labor, removal labor, reinstallation labor, contractor charges, project delay, loss of use, property repair, normal wear, cosmetic damage that does not affect function, misuse, abuse, improper storage, accident, unauthorized modification, corrosion or environmental exposure beyond specifications, incompatible equipment, use outside published limits, or damage caused by improper installation, inadequate structure, incorrect fasteners, power events, transportation, or third-party products.

20.4 Replacement parts. QualGear may provide or sell replacement parts when available. A replacement part may differ cosmetically or be a functionally equivalent revision. Unless the Product-specific written warranty, a written QualGear authorization, or applicable law states otherwise, a replacement part or replacement product is covered for the remaining balance of the original warranty period; it does not restart or extend the warranty. Providing a part, troubleshooting assistance, or goodwill accommodation does not expand the written warranty or admit that a Product was defective.

20.5 Purchases from independent sellers. QualGear cannot issue a purchase-price refund for a Product bought from an independent retailer, distributor, reseller, or marketplace. Such returns must be processed through the seller and are subject to that seller's return policy. QualGear may assist with Product information, installation guidance, warranty questions, or replacement-part requests when valid proof of purchase and other required information are provided.

20.6 Implied warranties and legal rights. QualGear does not disclaim an implied warranty that cannot lawfully be disclaimed. Where a written limited warranty permits the duration of an implied warranty to be limited, any such limitation will be stated in the applicable Product warranty and will apply only to the extent permitted by law. QualGear does not exclude or limit an implied warranty, statutory right, or remedy that cannot lawfully be excluded or limited. Consumers may have additional rights that vary by jurisdiction.

20.7 Out-of-warranty parts and service. Outside the applicable warranty period, or where a claim is determined not to be covered, replacement parts and any related service are available at the Customer's expense, subject to part availability and current pricing.

20.8 Items manufactured by third parties. Certain items sold by QualGear are manufactured by third parties. Unless expressly stated otherwise on the Product page or in the Product Documentation, warranty coverage for a third-party-manufactured item is provided and handled by the respective manufacturer under that manufacturer's warranty terms. QualGear can help identify the correct warranty contact for such an item.

Part IV — Dealer, wholesale, and commercial terms

21. Dealer, wholesale, government, education, and commercial accounts

21.1 Approval and eligibility. QualGear may offer dealer, wholesale, installer, indoor-golf, commercial, government, education, or institutional accounts to qualified applicants. Eligibility, pricing, product access, dropship privileges, credit terms, project support, tax treatment, territory, and other benefits are subject to approval and may be modified or withdrawn prospectively.

21.2 Application documents. Applicants may be asked to provide company formation or registration documents, a valid sales-tax permit, Form W-9, resale certificate, signed Minimum Advertised Price Policy, business and billing information, website or storefront information, sales-channel information, trade references, ownership or authorized-signatory verification, and other records reasonably needed for compliance and credit review. Submission does not by itself result in approval.

21.3 Continuing accuracy. Approved accounts must promptly report changes to legal name, ownership, address, tax status, payment information, website, sales channels, marketplaces, authorized buyers, or financial condition. QualGear may periodically request updated documentation and may place an account on hold pending verification.

21.4 Account use. Dealer pricing and privileges are limited to the approved business and purpose. An account may not be shared, transferred, used to buy for an unauthorized reseller, or used to circumvent channel, territory, quantity, export, or marketplace restrictions. The account holder is responsible for purchases by its authorized users and for removing access when personnel change.

21.5 Suspension or termination. QualGear may suspend or terminate account privileges for material breach, nonpayment, inaccurate documents, tax misuse, unauthorized marketplace sales, MAP violations, diversion, fraud, intellectual-property misuse, repeated customer-service issues, chargeback abuse, sanctions concerns, or conduct likely to harm customers or the QualGear brands. Termination does not eliminate accrued payment or other obligations.

22. Authorized reseller, marketplace, and MAP requirements

22.1 Approved channels only. QualGear Products may be resold only through sales channels approved by QualGear. Approval as a Dealer or Reseller does not automatically authorize listing or sale on Amazon, Walmart Marketplace, eBay, or another third-party marketplace. Marketplace sales require separate express written authorization identifying the approved marketplace, seller account, territory, and any conditions.

22.2 Minimum Advertised Price Policy. Where applicable, a Dealer must comply with the current QualGear Minimum Advertised Price ("MAP") Policy. The MAP Policy is unilateral and separate from these Terms. QualGear independently determines whether and how to enforce it. No employee or representative is authorized to negotiate an agreement concerning advertised resale prices unless expressly authorized by QualGear in writing.

22.3 Product presentation and brand standards. Authorized Resellers must use current, accurate Product information; avoid false, misleading, or unsubstantiated claims; identify condition accurately; maintain suitable packaging and handling; provide legally required seller information; and avoid alteration of serial numbers, labels, safety warnings, certification marks, or Product Documentation. QualGear may require correction or removal of inaccurate or unauthorized listings.

22.4 Authenticity and warranty. Customers are encouraged to purchase from QualGear or an authorized seller to support authenticity, warranty eligibility, and customer service. QualGear may deny reseller privileges, channel support, or discretionary assistance for diverted, counterfeit, materially altered, or unverifiable products, subject to applicable law and the written warranty.

22.5 No agency. A Dealer or Reseller is an independent business and is not QualGear's agent, employee, franchisee, partner, or legal representative. It may not make warranties, representations, commitments, or contracts on behalf of QualGear beyond authorized Product materials.

23. Dropshipping, project orders, credit terms, and purchase orders

23.1 Dropshipping. Approved dropship customers are responsible for accurate end-customer names, addresses, contact information, Product selection, sales-tax treatment, customer communications, and any promises they make. QualGear may include neutral or QualGear-branded documentation depending on the program. The account holder remains QualGear's Customer and is responsible for payment, returns, chargebacks, fraud, and compliance with its own customer obligations.

23.2 Project and volume orders. Large project Orders may require forecasts, deposits, staged shipments, allocation schedules, noncancelable commitments, storage deadlines, or special freight arrangements. Unless expressly committed in a signed writing, forecasts and requested delivery dates are planning estimates. Changes in quantities, specifications, destination, or schedule may affect price and lead time.

23.3 Credit terms. Credit terms are available only after written approval and may be reduced, suspended, or revoked based on payment history, financial condition, credit information, insurance, order size, or other reasonable risk factors. Invoices are due on the stated date without setoff or deduction except for a documented, good-faith dispute promptly reported to QualGear.

Past-due Business Customer amounts may accrue a service charge at the lesser of one and one-half percent (1.5%) per month or the maximum lawful rate, plus reasonable collection costs and attorneys' fees where permitted. QualGear may require cash in advance, suspend shipments, apply unapplied credits, or exercise lawful rights against overdue accounts. This paragraph does not apply where prohibited or to a Consumer obligation subject to different law.

23.4 Purchase orders and conflicting terms. A Customer purchase order is an administrative ordering document only. Additional or conflicting boilerplate terms in a purchase order, vendor portal, acknowledgment, onboarding form, or other Customer document do not bind QualGear unless an authorized QualGear officer expressly accepts them in a signed writing. Performance, shipment, silence, or reference to a purchase-order number does not constitute acceptance of those terms.

23.5 Setoff and deductions. Business Customers may not take deductions for freight, shortages, damage, returns, rebates, marketing, penalties, compliance fees, or other claims without supporting documentation and QualGear's written approval, except where a contractual or legal right permits otherwise. Unauthorized deductions may be treated as past due.

Part V — Intellectual property, data, and compliance

24. Intellectual property and limited website license

24.1 Ownership. The Site, Product designs, patents, trademarks, service marks, trade names, logos, graphics, photographs, videos, renderings, manuals, drawings, copy, data compilations, software, and other content are owned by QualGear or its licensors and are protected by intellectual-property and unfair-competition laws. QualGear also owns rights associated with the QualGear Pro-AV and Star Ergonomics brands and its utility and design patents.

24.2 Permitted use. Customers may view, download, and print publicly available Product information for personal use, internal purchasing, installation, support, or other lawful use of genuine Products. An authorized Reseller may use approved marketing assets solely to advertise genuine Products through approved channels and in accordance with current brand guidelines and written authorization.

24.3 Restrictions. Without prior written permission, you may not copy substantial Site content; modify or remove proprietary notices; use QualGear marks in a domain name, seller name, paid-search term, social-media identity, or confusing manner; create derivative manuals or safety instructions; scrape or harvest restricted data; reverse engineer Site software; use Product images to market counterfeit or competing goods; or suggest sponsorship, authorization, certification, or affiliation that does not exist.

24.4 Reporting infringement. Suspected counterfeit products, unauthorized listings, trademark misuse, copyright infringement, or other rights concerns may be reported to support@qualgear.com with the relevant URL, seller information, screenshots, and a description of the concern. QualGear may request additional information before acting.

25. Reviews, feedback, and other user content

25.1 Responsibility for content. If the Site allows reviews, questions, photographs, videos, comments, or other submissions ("User Content"), you remain responsible for the content you submit. You represent that you own or have permission to use the content, that it is accurate to the best of your knowledge, and that it does not violate law, privacy, confidentiality, intellectual property, or another person's rights.

25.2 License to use. By submitting User Content to QualGear for publication, support, product improvement, or promotional use, you grant QualGear a nonexclusive, worldwide, royalty-free, transferable, sublicensable license to host, reproduce, adapt, publish, translate, distribute, display, and use that content in connection with the Site, Products, customer support, and marketing, subject to the Privacy Policy and any written limitation accepted by QualGear. You may request removal of published content, but removal may not be possible from archived, printed, syndicated, or already distributed materials.

25.3 Moderation. QualGear may moderate, decline, or remove User Content that is unlawful, threatening, harassing, discriminatory, defamatory, obscene, deceptive, irrelevant, promotional, confidential, infringing, unsafe, technically harmful, or inconsistent with Site standards. QualGear is not required to publish every submission and does not endorse User Content merely by displaying it.

25.4 Feedback. Ideas, suggestions, enhancement requests, and other feedback voluntarily provided to QualGear may be used without restriction or compensation, provided QualGear does not publicly attribute confidential business information to you without permission. Do not submit information you are not authorized to disclose.

26. Prohibited conduct

You may not use the Site, Products, accounts, pricing, documentation, or services to engage in conduct that is unlawful, fraudulent, abusive, unsafe, or harmful to QualGear, customers, carriers, payment providers, or third parties. Prohibited conduct includes:

  • accessing or attempting to access another person's account, credentials, nonpublic pricing, or restricted systems without authorization;
  • introducing malware, automated attacks, excessive requests, scraping tools, bots, or code intended to disrupt, probe, copy, or burden the Site;
  • circumventing purchase limits, promotions, account restrictions, MAP requirements, marketplace restrictions, export controls, or security measures;
  • providing false identity, billing, tax, shipping, end-user, resale, warranty, return, or carrier-claim information;
  • reselling used, returned, damaged, altered, counterfeit, or incomplete Products as new;
  • removing or altering safety labels, certification marks, serial numbers, date codes, trademarks, or Product Documentation;
  • using Products in an unlawful, prohibited, unsafe, or materially incompatible application;
  • harassing employees, threatening violence, or using abusive communications; or
  • using Site content or Product data to train, benchmark, populate, or operate a competing catalog, model, or service in a manner that infringes QualGear's rights or violates an access restriction.

QualGear may preserve evidence, restrict access, cancel unaccepted Orders, suspend accounts, notify affected providers or authorities, or pursue other lawful remedies when it reasonably believes prohibited conduct has occurred.

27. Third-party websites, platforms, and services

The Site may link to or integrate with payment processors, carriers, mapping tools, analytics providers, social networks, marketplaces, installation resources, or other third-party services. Those services are controlled by their providers and may have separate terms, privacy practices, availability, and fees. A link or integration does not constitute endorsement of all third-party content or practices.

QualGear is not responsible for a third party's independent acts or omissions, system availability, account decisions, delivery network, payment authorization, data handling, or content, except to the extent QualGear is legally responsible for selecting or directing that provider. Disputes with an independent retailer or marketplace regarding purchase price refunds generally must be resolved through that seller or platform.

28. Privacy, cookies, and communications

28.1 Privacy Policy. QualGear's Privacy Policy explains how personal information is collected, used, disclosed, retained, and protected. By using the Site or submitting information, you acknowledge the Privacy Policy. If these Terms and the Privacy Policy address the same issue, the Privacy Policy controls regarding personal-information practices unless a transaction-specific disclosure states otherwise.

28.2 Business uses. Customer information may be used for legitimate purposes including processing orders and payments, arranging delivery, providing notices and support, administering accounts, handling returns and warranties, preventing fraud, securing systems, improving the Site, maintaining business records, enforcing agreements, and complying with law. Information may be shared with payment processors, carriers, technology providers, service providers, professional advisers, government authorities, and other parties as described in the Privacy Policy or necessary for the transaction.

28.3 Cookies and similar technologies. The Site may use cookies, pixels, local storage, and similar technologies for essential functionality, preferences, security, fraud prevention, and performance, subject to the Privacy Policy and applicable consent requirements. Browser controls may affect Site functionality.

28.4 Marketing and transactional communications. You may unsubscribe from promotional email using the link in the message or by contacting support@qualgear.com. QualGear may continue to send nonmarketing communications reasonably necessary for orders, accounts, returns, warranties, security, policy notices, or customer-service requests. Consent to marketing is not a condition of purchase unless expressly and lawfully stated for a specific program.

29. Export controls, sanctions, and anti-diversion

29.1 Compliance. Products, technical information, software, and transactions may be subject to U.S. export-control, economic-sanctions, customs, anti-boycott, and import laws, as well as destination-country rules. The Customer agrees not to export, reexport, transfer, resell, divert, or use Products or related information in violation of applicable law.

29.2 Restricted parties and destinations. The Customer represents that neither it nor, to its knowledge, the intended end user is a prohibited or restricted party and that the transaction is not intended for a prohibited destination, end use, or unlawful diversion. QualGear may screen transactions, request end-user or end-use information, decline shipment, hold an Order, cancel an unshipped item, or make a required report when reasonably necessary for compliance.

29.3 No circumvention. A Customer may not use a freight forwarder, intermediary, reseller, alternate address, false description, or split transaction to evade restrictions. International Customers are responsible for determining import classification, licensing, local certification, and use restrictions. QualGear's assistance with shipping documents does not constitute legal advice or a representation that the destination transaction is lawful.

Part VI — Disclaimers, liability, and general terms

30. Disclaimers

30.1 Site and informational materials. Except as expressly stated in an applicable written Product warranty or as required by law, the Site and general informational materials are provided on an "as available" basis. QualGear does not warrant that the Site will be uninterrupted, error-free, immune from all security threats, or compatible with every device, browser, or third-party system. General articles, diagrams, compatibility tools, and support communications are informational and must be considered together with the Product Documentation and actual installation conditions.

30.2 No professional services warranty. QualGear is not acting as the Customer's architect, engineer, electrician, contractor, installer, rigger, code consultant, tax adviser, customs broker, or legal adviser. No website statement, quotation, support communication, or Product recommendation establishes that a particular structure, substrate, fastener, equipment combination, installation method, or project complies with code or is safe without appropriate verification.

30.3 Product warranties. Product warranties are only those expressly stated in the applicable written warranty and any express warranty created by law. QualGear does not exclude or limit an implied warranty, statutory right, or remedy that cannot lawfully be excluded or limited. To the extent permitted by law, oral statements, informal assistance, and website content do not create a warranty beyond the applicable written warranty and Product Documentation.

30.4 Third-party products and services. QualGear is not responsible for the design, safety, compatibility, performance, or warranty of third-party equipment, fasteners, structures, services, carriers, installers, or accessories merely because they are used with a QualGear Product or mentioned as an example. Any third-party warranty is provided by the relevant third party.

31. Limitation of liability

31.1 Excluded damages. To the fullest extent permitted by law, QualGear and its affiliates, owners, officers, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; loss of profit, revenue, business opportunity, goodwill, data, or use; project delay; substitute equipment; contractor standby charges; or other economic loss arising out of or relating to the Site, an Order, a Product, shipping, installation, removal, reinstallation, account suspension, or these Terms, even if advised that such damages may occur.

31.2 Aggregate cap. To the fullest extent permitted by law, QualGear's aggregate liability arising out of or relating to a particular Product or transaction will not exceed the amount actually paid to QualGear for the Product or transaction giving rise to the claim. For a claim relating solely to free Site use and not to a purchase, the aggregate cap will be one hundred U.S. dollars (US $100).

31.3 Exceptions and nonwaivable rights. The exclusions and caps in this Section do not apply to liability that cannot lawfully be excluded or limited, including liability to the extent finally determined to result from QualGear's fraud, willful misconduct, or other liability that applicable law makes nonwaivable. Some jurisdictions do not allow certain exclusions or limitations, so portions of this Section may not apply to a particular Customer.

31.4 Allocation of risk. The pricing and availability of Products and services reflect the allocation of risk in these Terms. Each limitation is intended to apply independently and to the maximum extent permitted even if a limited remedy fails of its essential purpose.

32. Indemnification

To the extent permitted by law, a Business Customer, Dealer, Reseller, installer, integrator, or other commercial user will defend, indemnify, and hold harmless QualGear and its affiliates, owners, officers, employees, and agents from third-party claims, damages, judgments, penalties, costs, and reasonable attorneys' fees arising from or relating to:

  • its breach of these Terms or a separate account, dealer, MAP, marketplace, credit, or project agreement;
  • its false, misleading, or unauthorized marketing, warranties, representations, listings, or customer commitments;
  • its installation, modification, combination, resale, export, storage, handling, or use of Products, except to the extent the claim is caused by a defect or misconduct for which QualGear is legally responsible;
  • its violation of law, tax obligations, privacy rights, intellectual property, marketplace rules, or export restrictions;
  • User Content or data it supplies; or
  • its negligence, willful misconduct, or misuse of a QualGear account or confidential information.

QualGear will provide reasonable notice of a covered claim and may participate in the defense. The indemnifying party may not settle a claim in a manner that admits wrongdoing by, imposes nonmonetary duties on, or restricts QualGear without QualGear's written consent. This Section does not require a Consumer to indemnify QualGear beyond what applicable law permits.

33. Force majeure

QualGear will not be liable for delay or failure caused by circumstances beyond its reasonable control, including severe weather, natural disaster, fire, flood, epidemic, pandemic, war, terrorism, civil disturbance, labor disruption, carrier interruption, port congestion, customs delay, government action, embargo, sanctions change, supplier failure, material shortage, utility outage, cyberattack, system outage, equipment failure, or transportation disruption.

QualGear may allocate available inventory, use alternate suppliers or carriers, make partial shipments, extend performance dates, suspend affected obligations, or cancel the affected unperformed portion when commercially reasonable. Payment obligations for Products already delivered are not excused. QualGear will make reasonable efforts to communicate material delays and comply with mandatory consumer refund requirements.

34. Dispute resolution, governing law, and venue

34.1 Informal resolution. Before filing a lawsuit, the parties should attempt in good faith to resolve the dispute. A written notice should identify the claimant, Order or account, relevant facts, requested relief, and supporting documents and should be sent to support@qualgear.com with the subject line "Legal Dispute Notice" and by certified mail or recognized overnight delivery to the address in Section 36. QualGear will use reasonable efforts to respond within thirty (30) days after receiving sufficient information. This process does not extend a legal limitation period unless the parties agree in writing or law provides otherwise.

34.2 Governing law. These Terms and transactions directly with QualGear are governed by the laws of the State of Texas, without regard to conflict-of-law rules, except that federal law governs federal issues. The United Nations Convention on Contracts for the International Sale of Goods does not apply to Business Customer transactions to the extent its exclusion is permitted. Mandatory consumer protections of the Customer's jurisdiction remain applicable where they cannot lawfully be waived by a choice-of-law clause.

34.3 Venue. Unless a nonwaivable law requires another forum or the parties agree in writing to arbitration or another process, any action arising out of these Terms or a direct QualGear transaction must be brought in the state courts located in Collin County, Texas, or the United States District Court having jurisdiction over Collin County, Texas. Each party consents to personal jurisdiction and venue in those courts. A qualifying claim may be brought in an appropriate small-claims court.

34.4 Injunctive relief. Nothing in this Section prevents either party from seeking temporary, preliminary, or permanent injunctive relief to protect confidential information, intellectual property, account security, or to prevent unlawful diversion or misuse where such relief is legally available.

35. General contract terms

35.1 Severability. If a court of competent jurisdiction finds a provision unenforceable, it will be enforced to the maximum extent permitted and modified or severed only as necessary. The remaining provisions will continue in effect.

35.2 No waiver. A failure or delay in enforcing a provision is not a waiver. A waiver must be in writing and applies only to the specific circumstance stated.

35.3 Assignment. You may not assign or transfer these Terms, an account, or an Order without QualGear's written consent. QualGear may assign these Terms or related rights and obligations in connection with a merger, reorganization, financing, sale of assets, transfer of a product line, or operation by an affiliate, provided that assignment does not reduce a Consumer's nonwaivable rights.

35.4 Independent parties. The parties are independent contracting parties. These Terms do not create an agency, partnership, joint venture, franchise, employment, fiduciary, or exclusive relationship.

35.5 No third-party beneficiaries. Except for QualGear parties expressly protected by Sections 31 and 32, these Terms do not create enforceable rights for a third party.

35.6 Survival. Provisions that by their nature should survive termination or completion will survive, including payment, confidentiality, intellectual property, warranty limitations, liability limitations, indemnification, dispute resolution, and general interpretation provisions.

35.7 Headings and interpretation. Headings are for convenience and do not limit meaning. "Days" means calendar days unless "business days" is stated. An electronic record and paper record are each "written." A reference to law includes amendments and successor provisions. These Terms will not be interpreted against a party solely because that party drafted them.

35.8 Entire agreement and order of precedence. These Terms, together with incorporated policies and accepted transaction documents, constitute the agreement concerning their subject matter and supersede prior or contemporaneous communications on that subject. If documents directly conflict, the following order applies unless a signed agreement expressly states otherwise:

  1. a separately signed agreement between the Customer and an authorized QualGear officer;
  2. an accepted written quotation or invoice, but only for transaction-specific commercial terms;
  3. the applicable Product-specific written warranty, for warranty coverage and remedies;
  4. an applicable authorized-dealer, marketplace, MAP, credit, or program document, for that program;
  5. published transaction policies expressly incorporated into the Order, including the Return, Shipping, and Privacy Policies; and
  6. these Terms.

A Customer purchase order or vendor-portal term does not alter this order of precedence unless expressly accepted as stated in Section 23.4.

35.9 Notices. QualGear may provide notices by email, account or portal message, Site posting, invoice notation, shipment document, or mail, as appropriate to the notice. You must keep contact information current. A legal notice to QualGear must follow Section 34.1 or Section 36, as applicable.
